Thank you for using VisoDyne products. These Terms of Service (“Terms”) govern your access to and use of the VisoDyne website, applications, and related services. Please read them carefully before using any of our services.
Definitions
When we say “Company,” “we,” “our,” or “us” in this document, we are referring to VisoDyne, located in the Netherlands.
When we say “Service,” we mean the VisoDyne website at visodyne.com, any software products we develop and distribute (including the Battery Monitor application), and any related services, whether delivered within a web browser, desktop application, mobile application, or another format.
When we say “You” or “your,” we are referring to the individual person or organization that accesses or uses the Service.
Accepting these Terms
By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Service.
If a term does not make sense to you, please let us know by e-mailing [email protected]. We have tried to make these Terms as clear and readable as possible.
Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will revise the date at the top of this page and take reasonable steps to notify you, such as posting a notice on our website or, if you have an account with us, sending an email to the address on file. Changes become effective 30 days after we post the revised Terms.
Your continued use of the Service after the revised Terms take effect constitutes acceptance of the changes. If you do not agree with the revised Terms, you should stop using the Service before they take effect.
Account Terms
Some parts of the Service require you to create an account. If you register for an account:
- You are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
- You are responsible for all activity that occurs under your account.
- You must provide accurate information when creating your account. You may not use a false identity or impersonate another person.
- You must be a human. Accounts registered by bots are not permitted.
Acceptable Use
Your use of the Service must comply with all applicable laws and regulations. You agree not to:
- Collect or extract information or data from other users’ accounts.
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
- Trick, defraud, or mislead us or other users, including making false reports or impersonating another user.
- Upload or transmit viruses, malware, or any type of malicious code.
- Interfere with, disrupt, or create an undue burden on the Service or connected networks.
- Harass, annoy, intimidate, or threaten any of our employees or other users of the Service.
- Use the Service in a manner inconsistent with any applicable laws or regulations.
- Use automated means (bots, scrapers, crawlers) to access the Service beyond what is permitted in our robots.txt or without our prior written consent.
Violation of any of these restrictions may result in suspension or termination of your account without prior notice.
Software Licensing
Software products offered by VisoDyne (including but not limited to the Battery Monitor application) are licensed, not sold. Your use of any VisoDyne software is governed by the End User License Agreement (EULA) provided with that software. The EULA is a separate agreement between you and VisoDyne and is presented at the time of purchase or installation.
License activation and validation is handled through our licensing system. You agree not to circumvent, disable, or otherwise interfere with any license validation or copy-protection mechanisms.

Intellectual Property
We or our licensors own all right, title, and interest in and to the Service, including all intellectual property rights. The visual design, layout, text, graphics, logos, and software are protected by international copyright, trademark, and other intellectual property laws.
Unless expressly authorized by us in writing, you may not:
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service.
- Modify or create derivative works based on the Service.
- Use data mining, robots, or similar extraction methods on the Service.
- Reverse engineer, decompile, or disassemble the Service to build a competing product.
- Use our logos or trademarks without prior written permission.
Privacy & Data Handling
For detailed information about how we collect and process your personal data, please read our Privacy Policy. The Privacy Policy forms part of these Terms.
We process your data only for the purposes described in our Privacy Policy. On rare occasions, our staff may access account data:
- To assist you with a support request you have made.
- To resolve technical errors that prevent automated processes from completing.
- To safeguard the security and integrity of the Service.
- To comply with applicable legal obligations.
Third-Party Services
The Service may contain links to third-party websites or services that we do not own or control. We are not responsible for the content, privacy policies, or practices of any third-party service. You acknowledge and agree that we are not liable for any damage or loss caused by your use of any such third-party services. We encourage you to read the terms and privacy policy of any third-party service you visit.
Electronic Communications
By using the Service or contacting us via email, you consent to receive communications from us electronically. We may communicate with you by email or by posting notices on the Service. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
EU Consumer Rights Notice: If you are a consumer in the European Union or European Economic Area, this disclaimer does not affect your mandatory statutory rights under applicable consumer protection laws, including the EU Consumer Rights Directive (2011/83/EU) and the Dutch Civil Code (Burgerlijk Wetboek). Where mandatory consumer protections apply, they prevail over any conflicting provision of these Terms.
Limitation of Liability
To the maximum extent permitted by applicable law, VisoDyne shall not be liable to you or any third party for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the Service, including but not limited to loss of profits, data, goodwill, or other intangible losses, regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.
Our total cumulative liability for all claims arising out of or relating to the Service shall not exceed the one-time license fee you actually paid to VisoDyne for the specific product giving rise to the claim.
EU Consumer Rights Notice: Nothing in these Terms excludes or limits our liability for (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any other liability that cannot be excluded or limited under Dutch or EU law. If you are a consumer in the EU/EEA, your statutory rights remain unaffected.
Indemnification
If you are a business user, you agree to defend, indemnify, and hold VisoDyne harmless from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (i) your violation of these Terms, (ii) your violation of any applicable law or the rights of any third party, or (iii) your misuse of the Service.
This indemnification obligation does not apply to consumers in the EU/EEA to the extent that it would conflict with mandatory consumer protection legislation.
Cancellation & Termination
You may stop using the Service at any time. If you have an account, you can request account deletion by contacting us at [email protected].
If you breach any of these Terms, we have the right to suspend or terminate your access to the Service at our discretion. We may also terminate or suspend your account for any reason with 30 days’ written notice to the email address associated with your account.
Upon termination, your right to use the Service ceases immediately. We will delete your account data within 30 days of termination, except where we are required to retain data by law or for legitimate business purposes (such as resolving disputes). Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will survive.
Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.
EU Consumer Rights Notice: If you are a consumer residing in the EU/EEA, you may also bring proceedings in the courts of the EU Member State in which you are domiciled, in accordance with Regulation (EU) No 1215/2012.
Age Restriction
The Service is not intended for persons under the age of 16. By using the Service, you represent that you are at least 16 years of age. If we learn that we have collected personal data from a person under 16 without verifiable parental consent, we will take steps to delete that information.
Severability
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
No Waiver
Any failure on our part to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, upon 30 days’ notice to you.
Entire Agreement
These Terms, together with our Privacy Policy and Return & Refund Policy, constitute the entire agreement between you and VisoDyne regarding the use of the Service. They supersede any prior agreements between you and VisoDyne relating to your use of the Service.
